General Terms and Conditions

Effective from: January 1, 2026

1. General provisions

These General Terms and Conditions ("Terms") apply to the web design, branding, and development services provided by Földes Design Studio ("Service Provider"). These Terms set out the detailed conditions of the contractual relationship between the Service Provider and the natural or legal person ordering the service ("Client"). By using the Service Provider's services, the Client accepts these Terms.

2. Service Provider details

Name: Földes Design Studio (Dániel Földes, sole proprietor)

Registered address: [address to be added]

Tax number: [tax number to be added]

Registration number: [registration number to be added]

Email: daniel@foldesdesign.hu

These details need to be completed per the official business registry before the service actually begins.

3. Subject of the service

The Service Provider offers website design, development, branding, and related graphic design and consulting services. The exact scope, content, and price of a given service is always set out in an individual, written proposal (by email or another documented form), which becomes final once the Client accepts it.

4. How the collaboration works

The collaboration typically starts with an initial consultation, followed by a proposal. Once the proposal is accepted and the deposit invoice is paid, the Service Provider begins design or development work. Throughout the project, the Service Provider provides regular check-ins and feedback points for the Client. The project closes once the Client approves the finished website or materials and the final invoice is paid.

5. Pricing and payment terms

The fee for the service is set out in the individual proposal. Unless otherwise agreed, payment is split into a 50% deposit and a 50% final payment: the deposit is a condition for starting the project, and the remaining amount is due after delivery, i.e. after the materials are handed over. For ongoing collaborations (retainers), the parties agree on a monthly fee and billing schedule. Unless otherwise agreed, invoices are due within 8 calendar days of issue.

6. Delivery deadline

The Service Provider sets the delivery deadline in the individual proposal, based on the project's scope. Meeting the deadline depends on the Client providing the necessary materials, content, and feedback on the agreed schedule. Any delay on the Client's part extends the delivery deadline proportionally.

7. Client's duty to cooperate

The Client must provide the Service Provider with the materials needed to carry out the project (texts, images, logo, brand assets, access credentials, etc.), and give feedback within a reasonable time during the design and development phases. If the Client fails to meet these obligations, the Service Provider is entitled to adjust the delivery deadline, or, in the case of a longer, unjustified delay, to terminate the contract.

8. Changes and revisions

The individual proposal specifies the number of revision rounds included in the project. Any requests beyond that, or beyond the project's original scope, are carried out by the Service Provider for an additional fee, based on a separate proposal.

9. Copyright and usage rights

The design and development work created by the Service Provider remains the Service Provider's intellectual property until the final invoice is paid in full. Once the final invoice is paid, the Client obtains an unlimited right to use the ordered materials for the purpose of the contract. Unless otherwise agreed, the Service Provider is entitled to showcase the finished work in its own portfolio as a reference.

10. Warranty and liability

The Service Provider carries out its work with the professional care expected of it. The Service Provider is not responsible for the legal cleanliness of materials (text, images, data) supplied by the Client, nor for errors arising from the website's operation caused by third parties or by changes made by the Client. The Service Provider's liability is in all cases limited to the amount of the project fee.

11. Withdrawal and termination

Before the project begins, either party is entitled to withdraw from the contract. If the contract is terminated after the project has begun, the Client must pay a proportionate fee for the work completed up to the date of termination, and any deposit already paid is settled accordingly.

12. Force majeure

Neither party is liable for any hindrance or delay in performing the contract caused by an unavoidable event beyond its control (force majeure). Should such an event occur, the parties will adjust the delivery deadlines in proportion to the duration of the force majeure event.

13. Data processing

The Service Provider processes the personal data of the Client and the Client's customers in compliance with applicable data protection law (in particular the GDPR), and only to the extent necessary to perform the service. A detailed privacy notice is available when contacting the Service Provider, or on request.

14. Complaints and disputes

The parties will first attempt to resolve any disputes arising during the performance of the contract through discussion. If that doesn't lead to a resolution, either party may bring the dispute before the court with jurisdiction and competence under Hungarian law.

15. Closing provisions

Matters not covered by these Terms are governed by Act V of 2013 on the Civil Code and other applicable Hungarian legislation. The Service Provider reserves the right to amend these Terms unilaterally; amendments take effect upon publication on the website and do not apply retroactively to contracts already concluded.
